Terms of Service

1. Agreement to Terms

Praevius (praevius.app and app.praevius.app) is operated by Robert Kowalski, trading as BIM Takeoff (“we”, “us”, “our”). By accessing or using Praevius, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the service.

2. Description of Service

Praevius is a cloud-based construction programme and cost platform. It runs in a web browser. The service includes:

  • Programme module: create and edit construction programmes (Gantt chart, critical path, calendars, baselines and progress); import Microsoft Project (.mpp, .xml), Asta Powerproject (.pp) and Primavera P6 (.xer) files; and export to Microsoft Project XML, Primavera XER, PDF and Excel. Each import and export shows a report of the items that could not be carried across.
  • AI assistant: an assistant that reads and edits your programmes and project data from typed or spoken instructions, and answers questions about them. Ordinary edits apply at once and can be undone. Larger or destructive changes are proposed first and run only when you confirm them.
  • Voice input: you can speak instructions to the AI assistant instead of typing them. In the web app, speech is converted to text by your browser’s speech recognition service. In the mobile app, speech is converted to text on your device. The mobile app can also read the assistant’s answers aloud.
  • Agent access (MCP): you can connect your own AI agent to Praevius over the Model Context Protocol (MCP) with OAuth sign-in. Read access is available on every plan. Write actions need the Professional or Scale plan and your confirmation.
  • Cost control module: budget tracking, variance analysis, change orders, progress claims and AI-generated reports, on the Essential plan and above. Schedule of Values is available on the Scale plan only.
  • Integrations with third-party services that you choose to connect.
  • Data storage and export, subject to the limits of your plan.

3. Account Terms

  • You must be 18 years or older to use this service
  • You must provide accurate and complete information
  • You are responsible for maintaining account security
  • One person or legal entity per account
  • You may not use the service for illegal purposes

4. Payment Terms

  • Prices are in USD unless otherwise stated
  • Subscriptions are billed monthly or annually
  • Payment is due at the start of each billing period
  • The Essential and Professional plans include a 30-day free trial. No card is needed. If you do not subscribe by the end of the trial, your organisation moves to the Free plan limits. Your data is not deleted.
  • To change a paid plan, write to support@praevius.app
  • If you ask within 30 days of your first payment, we refund that payment in full
  • We reserve the right to change pricing with 30 days notice

5. Data Ownership

  • You retain ownership of all data you input into Praevius
  • You grant us license to process your data to provide the service
  • We may use anonymised, aggregated data for analytics
  • You can export your programmes at any time, within the export limits of your plan. For a full copy of your data, contact support@praevius.app
  • Upon account termination, your data will be deleted per our Privacy Policy

6. Acceptable Use

You agree not to:

  • Violate any laws or regulations
  • Upload malicious code or attempt to breach security
  • Resell or redistribute the service without permission
  • Use automated systems, scrapers or bots to access the service, except through the Praevius MCP server or other interfaces we provide, and within the limits of your plan
  • Interfere with other users’ access to the service

7. Intellectual Property

  • Praevius and its content are protected by copyright and trademark
  • You may not copy, modify, or distribute our software
  • Feedback you provide may be used to improve the service

8. Third-Party Integrations

  • We provide integrations with third-party services (for example Xero, QuickBooks Online, Sage Intacct, Google Drive, SharePoint and Procore)
  • These integrations are subject to their own terms of service
  • We are not responsible for third-party service availability or changes

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. WE DO NOT GUARANTEE:

  • Uninterrupted or error-free service
  • The accuracy of AI-generated content, AI assistant actions, voice transcriptions, and programme imports and exports
  • Compatibility with all systems
  • That the service will meet all your requirements

You are responsible for checking programmes and reports before you rely on them or submit them.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRAEVIUS SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, or consequential damages
  • Loss of profits, data, or business opportunities
  • Damages exceeding the amount paid in the preceding 12 months

11. Indemnification

You agree to indemnify and hold harmless Praevius from any claims arising from your use of the service or violation of these terms.

12. Changes to Terms

We may modify these terms at any time. Continued use after changes constitutes acceptance. Material changes will be communicated via email.

13. Termination

  • You may cancel your subscription at any time
  • We may terminate accounts for violation of these terms
  • Upon termination, your access will end and data will be deleted per our retention policy

14. Governing Law

These terms are governed by the laws of England and Wales. Disputes shall be resolved in the courts of England and Wales.
